Right click on panel, select properties, then select background tab. 
Choose "solid color", then click on color button to bring up the color
picker.  It pops up behind the preferences thingy.  I think the solution is
to make it so that the panel preferences window isn't always on top since
windows like that  are annoying anyways.  (I think they're called modeless
dialogs?  Maybe I'm wrong).

Forgot to add that I'm using gnome-panel 2.5.91.

If you're using a metacity compiled after March 1st, please add a
comment to bug #96140 explaining the situation. It should be fixed,
though.
